Summary

In this oral argument before the Delaware Supreme court, counsel of plaintiff Microsoft Corp. sought reversal of the Court of Chancery's order that dismissed, with prejudice, the company's direct claims against Vadem, Ltd. and other defendants on grounds that those claims were time-barred. On October 14, 2011, Microsoft, a shareholder in Vadem BVI, filed a complaint that contains eight counts including, direct claims against Vadem BVI for its ultra vires transfer of certain patents, in breach of Microsoft's shareholder voting rights, and direct claims against Henry Fung, Amphus, Inc. and St. Clair Intellectual Property Consultants, Inc. for their complicity in that breach.

Outcome

The Court of Chancery's judgment was affirmed.
