In this Energy Mergers and Acquisition litigation proceeding, plaintiff Lemon bay LLC alleged America Mining Corporation and other defendants of breaching their fiduciary duties by acquiring ‘Minera Mexico’ which the plaintiff claimed was unfair to the minority shareholders. The plaintiff sought a permanent and preliminary injunction to enjoin the acquisition.

The plaintiff was represented by attorney Robert Brown. The defendant in this case, Americas Mining Corporation was represented by attorney James Brandt and Alan Stone.


The court found that the defendants had breached their fiduciary duty of loyalty and judgment was entered against them.
