The case was a family dispute among four siblings who had interests in two properties in an LLC. The LLC operating required unanimous consent of all four siblings to take significant action, but one sibling dissented.

What was anticipated to be a 1-day bench trial seeking the court-ordered dissolution of ECH Management, a small private entity, was abbreviated when the parties presented to the judge an agreed settlement order providing for dissolution within 120 days, appointing a new liquidating trustee, setting floors or minimum prices at which properties could be sold, dismissing all claims with prejudice, and allocating attorney fees and costs to the parties.

Chancellor Chandler agreed to file the proposed order under seal to protect the confidentiality of the proposed price floors.


The motion to dismiss the counterclaims was denied
