Boca Aviation was a fixed base operator at Boca Raton Airport. Boca Aviation had a long-term lease on 45 acres, and was the sole provider of aviation services, including fuel, at Boca Airport.
When additional airport land became available, Proskauer executed lease amendments that attempted to secure Boca Aviation's position as sole fuel provider at the airport, but the local airport authority eventually brought in a competing fixed base operator.
Boca Aviation claimed that it had won the right to develop the remaining airport land itself, which would have secured its position as sole fuel provider, but that it lost its right due to Proskauer's handling of the lease amendments.
Proskauer asserted that Boca Aviation did not have a legal right to exclude a competing fuel provider, and therefore Proskauer was not responsible for the eventual loss of Boca's exclusivity.
